UDA CONNECT END USER LICENSE AGREEMENT (EULA)

This End User License Agreement ("Agreement") is a legal agreement between you ("User," "You," or "Your") and University Degrees Abroad (UDA), an affiliate of Degree Abroad LLC, England ("UDA," "We," "Us," or "Our"), governing your access to and use of UDA Connect, including its website, mobile applications, integrations, and related services (collectively, the "Platform").
By accessing or using the Platform, you agree to be bound by this Agreement.
1. LICENSE GRANT
Subject to the terms of this Agreement, UDA grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purposes.

3. INTELLECTUAL PROPERTY
UDA and its licensors retain all ownership rights, title, and interest in the Platform, including software, content, trademarks, logos, designs, databases, and related intellectual property.
No ownership rights are transferred to you through use of the Platform.
4. THIRD-PARTY SERVICES AND INTEGRATIONS
The Platform may integrate with third-party services including but not limited to:
UDA is not responsible for outages, errors, data inaccuracies, or service interruptions caused by third-party providers.
5. QUICKBOOKS ONLINE INTEGRATION
UDA Connect may integrate with QuickBooks Online to support invoicing, payment tracking, scholarship administration, registration fees, academy fees, tour payments, and related financial processes.
By using this integration, you acknowledge that:

You retain ownership of information and content submitted through the Platform.
By submitting information, you grant UDA permission to store, process, and use such information as necessary to provide Platform services, administer programs, support university placement activities, and fulfill contractual obligations.
7. UPDATES AND MODIFICATIONS
UDA may update, enhance, modify, or discontinue portions of the Platform at any time.
Where practical, UDA will provide notice of significant changes affecting Platform functionality.
8. SUPPORT
UDA may provide support services related to the Platform.
Support availability, response times, and service levels may vary.
9. DATA AND PRIVACY
Your use of the Platform is subject to the UDA Connect Privacy Policy.
By using the Platform, you consent to the collection, processing, storage, and use of information as described in that Privacy Policy.
10. TERM AND TERMINATION
This Agreement remains in effect while you use the Platform.
UDA may suspend or terminate access if:
11. DISCLAIMER OF WARRANTIES
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE."
UDA DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED OPERATION.
12. LIMITATION OF LIABILITY
To the fullest extent permitted by law, UDA shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from use of the Platform.
UDA's total liability arising from the Platform shall not exceed the fees paid by the applicable user during the twelve (12) months preceding the claim.
13. COMPLIANCE WITH LAWS
Users are responsible for complying with all applicable laws and regulations related to their use of the Platform.
14. CHANGES TO THIS AGREEMENT
UDA may revise this Agreement periodically.
Updated versions will be posted on the Platform with a revised effective date.
Continued use of the Platform constitutes acceptance of revised terms.
15. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the State of Ohio, United States, without regard to its conflict of law principles.
Any disputes arising under this Agreement shall be resolved in the state or federal courts located in Ohio, United States.
16. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between you and UDA regarding use of the Platform and supersedes prior agreements and understandings.
BY ACCESSING OR USING UDA CONNECT, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS AGREEMENT.

- Complete student-athlete onboarding and registration
- Manage student, parent, guardian, coach, and staff information
- Register for programs, tours, camps, events, and academy activities
- Submit forms, waivers, and supporting documentation
- Review invoices, scholarships, and payment information
- Access communications, schedules, announcements, and resources
- Participate in university recruitment and placement processes
- Access web and mobile services provided through UDA Connect
2. RESTRICTIONS
You agree not to:
- Copy, reproduce, distribute, modify, or create derivative works of the Platform
- Reverse engineer, decompile, disassemble, or attempt to obtain source code
- Circumvent security measures or access controls
- Use the Platform for unlawful purposes
- Share login credentials with unauthorized individuals
- Interfere with the operation, security, or availability of the Platform

- Google Workspace
- Payment processors
- Form collection services
- Communication and notification services

UDA is not responsible for outages, errors, data inaccuracies, or service interruptions caused by third-party providers.
5. QUICKBOOKS ONLINE INTEGRATION
UDA Connect may integrate with QuickBooks Online to support invoicing, payment tracking, scholarship administration, registration fees, academy fees, tour payments, and related financial processes.
By using this integration, you acknowledge that:
- Certain financial information may be synchronized between UDA Connect and QuickBooks Online
- QuickBooks Online may serve as the system of record for certain accounting information
- UDA Connect may create, update, and synchronize customer records, invoices, credits, and payment information
- UDA is not responsible for errors originating from QuickBooks Online or other third-party systems
- Your use of QuickBooks Online remains subject to Intuit's applicable agreements
